Terms of use and service

Version 1.0, effective 20 October 2026.

1. Parties and scope

The SeveUp App service (the "Service"), available at www.seve-up.app, is published by SEVE'UP, a French simplified joint-stock company (société par actions simplifiée) with a share capital of €12,847, whose registered office is at 31 rue des Prés Hauts, 63100 Clermont-Ferrand, France, registered under SIREN 835 077 033 with the Clermont-Ferrand trade and companies register ("SeveUp").

These terms apply to any organisation or person acting for professional purposes (the "Customer") that creates an account or uses the Service. They do not apply to SeveUp's bespoke consulting and development missions, which are covered by a separate quotation.

The Service is intended for professionals. The Customer declares that it acts for the purposes of its professional activity.

In the event of conflict, the order of precedence is: (1) the quotation or contract signed by the Customer, if any; (2) these terms; (3) Annex A (subprocessors) and Annex B (exit and return of data); (4) the privacy policy.

2. Description of the Service

SeveUp App is a web platform for quality control of building information models: import of IFC files, verification of IDS requirements, management of BCF issues, dashboards and 3D viewing. The Service can extract requirement rules from documents using artificial intelligence features (article 8).

Features, usage limits (active models, projects, storage volume, imported versions, audits, pages read by AI, maximum size per model) and available options depend on the Customer's plan. They are set out in a quotation.

SeveUp evolves the Service. A change that would remove an essential feature of the subscribed plan gives the right to terminate under article 14.

3. Account, organisation and roles

Each organisation designates at least one administrator. The administrator invites members, assigns them a role (administrator, user, viewer or custom role) and manages connectors.

The Customer is responsible for its members' use of the Service and for the rights it grants them. It keeps its credentials confidential and informs SeveUp without delay of any unauthorised use.

To provide support and maintenance, authorised SeveUp administrators may access an organisation, to the extent necessary and only for the duration of the intervention.

4. Free trial

Every new account gets a free 14-day trial in a shared project. SeveUp may extend it once by 7 days.

At the end of the trial, models become read-only until a date that is communicated, then projects are archived. No content is deleted merely because the trial has ended; the Customer may ask for an export or reactivation at contact@seve-up.com.

The trial does not trigger any automatic payment: billing is handled by SeveUp and moving to a paid plan requires express agreement. Any promotional offer (for example a free first month) is the one stated in the accepted quotation.

During the trial, the Service is provided as is, with no availability commitment, and the liability cap for free plans in article 11 applies.

5. Prices, invoicing and payment

The price, term and payment terms are set out in the quote accepted by the Customer. They depend on the plan, the usage limits and the options selected.

Invoices are payable within 30 days of their date unless the quotation states otherwise. Any delay automatically gives rise, without formal notice, to late-payment interest at three times the legal interest rate and to the fixed recovery fee of €40 (articles L. 441-10 and D. 441-5 of the French Commercial Code).

Where the plan allows overages, they are invoiced at the rate set out in the quotation.

SeveUp may revise its prices at each renewal, with 30 days' written notice. A Customer that rejects the revision may terminate before it takes effect, free of charge.

If an invoice remains unpaid 15 days after a written reminder, SeveUp may suspend access to import and audit features. Reading and export remain available; full access is restored upon payment.

6. Customer content

The Customer remains the sole owner of the files, models, documents, reports, issues and data it imports or generates in the Service ("Content").

The Customer grants SeveUp, for the term of the contract, a non-exclusive licence limited to what is necessary to provide, secure and maintain the Service on its behalf. SeveUp does not use the Content for its own purposes.

SeveUp may produce aggregated, anonymised usage statistics that identify neither the Customer nor its projects, in order to measure and improve the Service.

The Customer warrants that it holds the necessary rights over the Content, in particular over third-party models (client, designers, contractors) that it imports, and that it will not import unlawful content or malicious software.

7. SeveUp's intellectual property

The Service, its code, interfaces, documentation and trademarks remain the property of SeveUp. The Customer has a personal, non-exclusive, non-transferable right to use the Service for its internal needs during the term of the contract. Any unauthorised copying, resale or competitive access is prohibited, subject to rights granted by law.

8. Artificial intelligence features

The Service offers extraction of requirement rules from documents that the Customer chooses to submit. Proposed rules are validated one by one by the Customer before being compiled into IDS: AI does not decide alone and the Customer remains responsible for the final decision.

Pages of the submitted documents are sent to an AI model provider (OpenAI), a subprocessor listed in Annex A, through its application programming interface (API). SeveUp does not use the Content to train AI models, and OpenAI's API terms exclude the use of submitted data to train its models. OpenAI may retain this data for a limited period to prevent abuse, under its own terms.

AI outputs may contain errors. They are decision support, not technical, regulatory or contractual advice.

9. Connectors and third-party services

At the Customer's request, the Service can connect to third-party services (Trimble Connect, BIMcollab, BIMtrack, Catenda, Kairnial). Each connector is subject to the terms and limits of the third party concerned. The Customer is responsible for its access rights with the third party; SeveUp is not responsible for unavailability, changes or limits imposed by a third party. Synchronisation stops when the authorisation expires, until reconnection.

10. Availability, support and security

SeveUp has a best-efforts obligation to provide an available and maintained Service. No numerical availability rate is guaranteed by these terms. An availability commitment, with its terms and any service credits, may appear in the quotation for the Enterprise plan.

Scheduled maintenance is announced where possible.

Support is provided by email at contact@seve-up.com on business days. SeveUp aims for a first response within two business days; this target is not a commitment.

SeveUp implements appropriate technical and organisational measures to protect the Content, including authentication, role-based access control and separation of organisations. The Customer is responsible for the security of its own devices and credentials.

SeveUp notifies the Customer as soon as possible, and no later than 48 hours after becoming aware of it, of any personal data breach affecting its Content.

11. Liability

Each party is liable for the direct and foreseeable damage it causes by breaching its obligations.

SeveUp's total liability, for all causes of action combined, is limited to the amounts paid or due by the Customer for the 12 months preceding the event giving rise to liability. For the trial and free plans, this cap is €500.

SeveUp is not liable for indirect damage (loss of revenue, opportunity or reputation).

These limitations do not apply in case of wilful misconduct or gross negligence, personal injury, or where they would deprive an essential obligation of the contract of its substance.

The Customer remains responsible for checking its models and for the design, coordination or acceptance decisions it takes on the basis of the Service's results.

12. Personal data

For the Customer's account and billing data (name, email, organisation, connection log), SeveUp acts as controller; the privacy policy sets out purposes, retention periods and rights.

For personal data contained in the Content, SeveUp acts as the Customer's processor and processes it on the Customer's documented instructions. Subject matter: provision of the Service. Duration: the term of the contract. Nature and purpose: hosting, processing and analysis of the Customer's models and documents on its behalf. Data: that contained in the Content (typically names of authors or project participants). SeveUp assists the Customer with data subject rights, makes available the information necessary for reasonable audits and, at the end of the contract, returns then deletes the data (article 14). These terms and Annex A serve as the processing agreement within the meaning of Article 28 GDPR.

Subprocessors are listed in Annex A. SeveUp informs the Customer of any change 30 days before it takes effect; the Customer may object on legitimate data-protection grounds.

Several subprocessors are US companies (Vercel, Render, Supabase, Modal, OpenAI and Resend), including where hosting is located in the European Union; some processing, notably by OpenAI and Modal, may take place in the United States. These transfers are covered by the EU-US Data Privacy Framework or by the European Commission's standard contractual clauses.

13. Confidentiality

Each party keeps the other party's non-public information confidential during the term of the contract and for five years after it ends, except where required by law or court order.

14. Term, termination and reversibility

The contract takes effect when the account is created. It lasts 14 days for the trial; for a paid plan, one year, renewed for identical periods unless terminated by notice given at least 30 days before expiry. SeveUp reminds the Customer of the expiry date in writing no earlier than three months and no later than one month before. A different term may appear in the quotation.

Either party may terminate for the other's serious breach that remains unremedied 30 days after written notice.

The Customer may end the contract in order to switch provider or migrate to its own infrastructure, with notice of no more than two months (Annex B).

At the end of the contract, the Customer has a retrieval period of at least 30 days during which it can export its Content (IFC models, reports, BCF, tables) in its original formats or in open formats. After that period, SeveUp deletes the Content within 30 days, unless retention is required by law, and confirms this in writing on request. Backup copies are purged according to their rotation cycle. Archived revisions are permanently deleted after 90 days.

The Customer may also request deletion of its account at any time, at contact@seve-up.com: it is carried out within 30 days of the request.

Articles 6, 7, 11, 12, 13, 14 and 17 survive termination.

15. Changes to these terms

SeveUp may amend these terms. Any substantial change is notified to the Customer in writing at least 30 days before it takes effect. A Customer that rejects it may terminate free of charge before that date; otherwise the new version applies when the notice period ends. A change required by law applies from its effective date.

16. General provisions

Force majeure: neither party is liable for a failure caused by force majeure within the meaning of Article 1218 of the French Civil Code, including a failure of an infrastructure or telecommunications provider beyond its control.

Assignment: the Customer may not assign the contract without SeveUp's written consent. SeveUp may transfer it to any entity that takes over its business, informing the Customer.

References: SeveUp cites the Customer's name as a reference only with its written consent.

Severability: if a provision is void, the others remain in force. Failure to rely on a breach is not a waiver.

Notices: they are valid by email to the organisation administrator's address, and to contact@seve-up.com for SeveUp.

17. Governing law and disputes

These terms are governed by French law. The parties will seek an amicable solution, where appropriate through voluntary contractual mediation with a mediation centre of their choice. Failing that, the commercial court of Clermont-Ferrand has sole jurisdiction, subject to mandatory rules.

Annex A. Subprocessors and hosting

Vercel Inc.: hosting of the website and web application, Frankfurt region (fra1).

Render Services, Inc.: hosting of the Service API, Frankfurt (Germany).

Supabase, Inc.: database and file storage, AWS region eu-west-1 (Ireland).

Resend: sending of the Service's emails (invitations, notifications, password resets), AWS region eu-west-1 (Ireland).

Cloudflare (cookie-free audience measurement) and Google Analytics 4 (after consent): public pages only; they do not process the Customer's Content.

Annex B. Exiting the Service and switching provider

Request: the Customer notifies its decision in writing; the notice period does not exceed two months.

Transition: during the transition period, of at most 30 days and extendable if technically impossible, SeveUp maintains the Service and reasonably assists the Customer.

Exportable data: imported IFC models, requirement documents, IDS rules, BCF issues and packages, reports and dashboards, in their original formats (IFC, BCF, IDS) or open formats (CSV, PDF), through the application's export feature or on request at contact@seve-up.com.

Retrieval: a period of at least 30 days after the end of the Service, followed by erasure.

Fees: switching provider gives rise, at most, to fees not exceeding the costs actually incurred by SeveUp, within the limits set by applicable regulation.
